EMERGING COMPANIES
The Emerging Companies Practice at our Firm is global in scope, consisting of both transactional and litigation attorneys who are immersed in the legal, business and regulatory issues that affect our clients' enterprises. Our team of experienced attorneys can handle the spectrum of needs of our clients - from start-ups to multinational conglomerates - and the investment banks and venture capital firms that serve them.
Our services span the entire growth cycle of a company, from organization and incorporation, through venture and mezzanine and late-stage funding and initial public offerings to sophisticated transactions for public companies. We help set-up optimal legal and capital structures, advise on corporate governance and compliance standards, coordinate employment and employee benefit arrangements, draft, negotiate and advise on domestic and international supply and distribution agreements, material transfer and intellectual property license agreements, as well as cross-border structuring agreements and outsourcing, and where appropriate, arrange introductions to providers of capital.
With a sophisticated perspective and an entrepreneurial spirit, our Emerging Companies group combines expertise in corporate finance, capital markets, venture financing, and mergers and acquisitions with an in-depth understanding of the intellectual property, technology transactions, liability, regulatory and privacy issues facing these companies.
Our goal is to be valued business advisors to each of the companies we represent. To that end, we develop a deep understanding of our clients' industries, and focus senior-level attention on the issues our clients face.

In today's increasingly regulated corporate environment, public and private companies are confronted with daily operational issues that are fundamental to the manner in which they conduct their businesses, relate to shareholders and boards of directors, and control their bottom lines. These often multifaceted legal and business problems require the application of highly specialized legal knowledge.
